Chief Registrar’s Circular No. 8 of 2016

Change of name of First National Bank Holdings Limited to FirstRand Bank Holdings Limited and then to FirstRand EMA Holdings Limited and conversion from a public company into a private company

1. In terms of section 44 (1)(b) of the Companies Act, 1973 (Act No. 61 of 1973), FIRST NATIONAL BANK HOLDINGS LIMITED (Registration number 1971/09695/06) has, changed its name to FIRSTRAND BANK HOLDINGS LIMITED (Registration number 1971/09695/06), with effect from 01 July 1999.

The enclosed documentation regarding this change of name must be filed under BC No. 6 of 2016 in all the deeds registries.

2. In terms of section 44 (1) (b) of the Companies Act, 1973 (Act No. 61 of 1973), FIRSTRAND BANK HOLDINGS LIMITED (Registration number 1971/009695/06) has changed its name to FIRSTRAND EMA HOLDINGS LIMITED (Registration number 197110.09695/06), with effect from 13 September 2010.

The enclosed documentation regarding this change of name must be filed under BC No. 7 of 2016 in all the deeds registries

3. FIRSTRAND EMA HOLDINGS LIMITED (Registration number 1971/009695/06) has been converted in terms of the provisions of the Companies Act, 2008 (Act No. 71 of 2008), from a public company into a private company now known as FIRSTRAND EMA HOLDINGS PROPRIETARY LIMITED (Registration Number 1971/009695/07), with effect from 31 July 2014.

The enclosed documentation regarding this conversion must be filed under BC No. 8 of 2016 in all the deeds registries.

4. Due to the number of deeds that have to be endorsed regarding the change of name and the conversion as referred to in paragraphs 1,2 and 3 above, permission is hereby granted to endorse deeds as and when they are lodged for an act of registration.

5. When relevant bonds are lodged for cancellation, it will not be necessary to endorse them in this regard, provided that the consent to the cancellation refers to the new situation.

6. Powers of attorney, consents and applications signed, and deeds lodged for registration after the date of this circular (20 June 2016) must reflect the correct position, whilst those signed prior to this date must be accepted unaltered.

7. All deeds Registries will/be supplied with rubber-stamps.
