Tips, tricks and useful information

Substitutution of a debtor

**please see explanatory NOTES at the end of the article

  1. Substitution of Debtor in terms of section 57 of the Act

    If the owner of land burdened by a registered bond, transfers the whole of such land to someone, a registrar of deeds may substitute the transferee for the transferor as debtor in respect of the bond registered over such land. (If the transferor is the owner of a one-half share of the land he must transfer his whole half-share).

    A registrar will, however, not substitute such transferee as debtor, if the transferor is:
    • Trustee in an insolvent estate
    • Executor who administers an estate ito Sec 34
    • Liquidator of a co/cc that cannot pay its debts
    • Liquidator or trustee appointed ito Agricultural Credit Act

  2. A substitution of a covering bond is registerable in a deeds office, but it may be mentioned, for interest's sake, that banks and building societies, in general, do not allow for the substitution of a debtor in respect of their covering bonds.

    Substitution of Surviving Spouse as debtor
    A surviving spouse can in terms of Section 57 be substituted as debtor, irrespective of whether such spouse was married in or out of community of property to the deceased spouse and irrespective of the manner in which the immovable property was acquired.

    Prescribed Form
    The consent for the substitution of debtor must be signed by both the mortgagee and the new mortgagor (transferee) and must be drawn in accordance with Form W of the Act.

  3. Substitution of Debtor in terms of section 45(2)(c)
    The consent for the substitution of debtor in terms of section 45(2)(c) must be drafted and signed by both the surviving spouse and the mortgagor in accordance with prescribed Form T.

  4. Substitution of Debtor in terms of section 45 bis (2)(a)
    The provisions of section 45 apply mutatis mutandis where a deed is endorsed in terms of section 45 bis (section 45bis (2)). Form T will have to be adjusted.

  5. Substitution of Debtor in terms of section 45 bis (2)(b)
    Where a title deed is endorsed in terms of section 45 bis (1A), and such immovable property is hypothecated, the former spouses may jointly and severally assume liability in writing for all the indebtedness and renounce the exception de duobus vel pluribus reis-debendi.
    Form BBB to the Act must be used for this substitution, and must be signed by both the mortgagee and the new individual debtors.

  6. Waiver of the Exception de duobus vel pluribus reis-debendi
    When two or more transferees substitute a previous owner (mortgagor) the new owners (mortgagees) must waive the exception de duobus vel pluribusreis-debendi .

Sec 57 and Sec 45(2)(c)
NOTES:

Example-
A sells to B
A has a bond over the property
(A is the existing mortgagor)
The transfer takes place from A to B
The existing bond IS NOT CANCELLED, but A is substituted with B as the new mortgagor.
A consent to substitution is required for this.

In effect what happens is that the new owner of the immovable property is substituted for the previous owner, and as new owner also assumes full responsibility and liability of the existing bond.

This form of consent is commonly used in deceased estates where a surviving spouse takes over the bond of the deceased / or a divorce / or where a joint owner is selling his whole portion to someone else (the bond remains the same only 1 name changes)

Our featured staff member of the month is none other than Celeste Ohlsson. Celeste has been with Korbitec since August 2007. Previously she worked at Fine and Country where she followed up with the conveyancing attorney with regard to all sales from their real estate agency. Celeste started off as a operator and as from February 2008 she has moved over to the consultant side of the helpdesk. When she is not solving client queries she enjoys spending time with her family and loves being outdoors eg. hiking, swimming.

Recipe of the month - Paw paw and Avocado Salad



Ingredients
  • Mixed lettuce
  • Baby tomatoes
  • Carrots (julienned)
  • Onion Rings (¼ red and ¼ white)
  • Sliced Cucumber
  • 1 Avocado Pear
  • 1 Paw-paw (firm, not overripe)
  • Peanut Brittle (broken into pieces)

Salad dressing
  • ½ cup of sugar
  • 2 teaspoons salt
  • ½ teaspoon mustard powder
  • ½ white vinegar
  • ½ cup oil
  • ¼ white onion
  • Paw-paw pips
Method
  • Blend above ingredients for dressing in food processor until pawpaw seeds look like ground pepper.
  • Arrange lettuce leaves on a serving platter.
  • Slice pawpaw and avocado into strips.
  • Add other ingredients (except peanut brittle).
  • Pour dressing over salad, add peanut brittle and serve immediately.
